Universal Shelf Registration

A shelf registration statement is a filing with the Securities and Exchange Commission (the “SEC”) to register a public offering, allowing the applicant to sell those securities without going through the cumbersome process of documentation each time. Usually where there is no present intention to immediately sell all the securities being registered. A shelf registration statement permits multiple offerings based on the same registration and is valid for three years. During these three years, the applicant must comply with the reporting requirements of the SEC. If a company is already a public entity, then there will be a great overlap between the two reporting.
